1. Agreement to Terms

Welcome to LocalWise! These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "User," or "Professional"), and LocalWise ("Company," "we," "us," or "our"), concerning your access to and use of the LocalWise mobile application and website (collectively, the "App").

By downloading, accessing, or using the App, you agree that you have read, understood, and agreed to be bound by all of these Terms. If you do not agree with all of these Terms, you are expressly prohibited from using the App and must discontinue use immediately.

LocalWise is a local discovery and networking platform. We provide the software that allows community members to find, follow, and contact local service professionals (such as plumbers, tutors, makeup artists, etc.).

No Employment Relationship: LocalWise does not employ, recommend, or endorse any specific Professional.

No Real-World Liability: We are not a party to any real-world service agreement, contract, or transaction between a Customer and a Professional. We do not guarantee the quality, safety, legality, or pricing of any services rendered. You agree that LocalWise is not responsible for any property damage, physical harm, or financial loss resulting from real-world interactions originating on our platform.

To use certain features of the App (such as the VIP Feed or Professional Dashboard), you may be required to register for an account.

Accuracy: You agree to provide true, accurate, current, and complete information during registration. Professionals must accurately represent their business name, category, and service areas.

Security: You are responsible for keeping your account credentials confidential. You agree to notify us immediately of any unauthorized use of your account.

Fraudulent Accounts: Creating duplicate accounts, impersonating another person or business, or providing fake contact information is a material breach of these Terms and will result in an immediate, permanent ban.

LocalWise allows Professionals to post "Quick Statuses," "Special Offers," and "Visual Stories." We take digital safety incredibly seriously. By posting any User-Generated Content (UGC), you agree to our strict zero-tolerance policy against abuse.

A. Prohibited Content:

You may NOT post, upload, or share any content that:

Is sexually explicit, pornographic, or contains nudity.

Promotes violence, hate speech, bullying, discrimination, or harassment.

Promotes illegal acts, unauthorized goods, or dangerous services.

Is fraudulent, deceptive, or constitutes a "scam" (including fake promo codes or bait-and-switch pricing).

Infringes on the intellectual property rights of others.

B. Community Moderation (Block & Report):

LocalWise is a self-moderating community. We provide in-app tools to ensure user safety:

Block: Any user can permanently hide a Professional from their feed and search results using the 3-dot menu.

Report: Users can flag inappropriate profiles or posts to our Trust & Safety Team.

Enforcement: We pledge to review all reported content within 24 hours. LocalWise reserves the right to remove any violating content and permanently suspend or ban the device and account of any user who violates these UGC guidelines, without prior notice.

LocalWise is a zero-commission platform for local services.

No In-App Service Payments: We do not process payments for physical services (e.g., plumbing, cleaning, tutoring) within the App. All transactions must be handled directly between the Customer and the Professional.

No Dispute Mediation: Because we do not process these transactions, we cannot issue refunds, mediate financial disputes, or enforce cancellations. You engage in financial transactions at your own risk.

Our App: Unless otherwise indicated, the App, including all source code, databases, functionality, software, UI designs, and graphics, are owned or controlled by LocalWise and are protected by copyright and trademark laws.

Your Content: You retain full ownership of the content (text, images, stories) you post on LocalWise. However, by posting content, you grant us a non-exclusive, royalty-free, worldwide license to host, display, and distribute your content within the App to your followers and the local community.

We cannot guarantee the App will be available at all times. We may experience hardware, software, or server issues resulting in interruptions, delays, or errors. We reserve the right to change, revise, update, suspend, or discontinue the App at any time or for any reason without notice to you.

Disclaimer: THE APP IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE APP SERVICES WILL BE AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE APP AND YOUR USE THEREOF.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL LOCALWISE, OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

These Terms shall be governed by and defined following the laws of India. LocalWise and yourself irrevocably consent that the courts of India shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
